These Terms and Conditions ("Terms") govern your access to and use of the IRIS website, services, and related offerings (collectively, the "Services") provided by Prospero Networks Ltd. ("IRIS", "we", "us", or "our").

By using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

2. Definitions

• User: Any individual accessing or using the Services.
• Customer: A User or entity that has purchased or subscribed to IRIS.
• Content: Data, files, graphics, text, or other materials uploaded or accessed via the Services.
• Account: A personalized login profile enabling access to IRIS.

3. Eligibility and Access

You must be at least 18 years old and capable of entering into a binding contract. You may use the Services only in compliance with these Terms and all applicable laws.

4. Intellectual Property and License

All content within the Services (including software, visuals, and designs) is owned by Prospero Networks Ltd. or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

5. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations;
• Upload malicious software or attempt to access our systems without authorization;
• Interfere with or disrupt the integrity or performance of the Services;
• Misrepresent yourself or impersonate another user;
• Use the Services to send spam or harass others.

6. Service Availability

While we aim for 24/7 availability, the Services may occasionally be unavailable due to maintenance or unforeseen issues. We are not liable for any loss resulting from downtime, data loss, or service interruptions.

7. Your Data and Privacy

Use of the Services is governed by our Privacy Policy. We collect only essential personal data and protect it using Google Cloud infrastructure and Firebase Authentication. Please refer to our full Privacy Policy for more.

8. Data Ownership

You retain all rights to your content. By uploading data, you grant IRIS a limited license to use it solely to provide the Services to you. We do not share or access your content unless required to operate or improve the service, or by law.

9. Limitation of Liability

• No liability for indirect or consequential damages.
• We are not liable for data loss, lost profits, or input errors.
• The Services are provided “as-is” with no warranties.

10. Termination

We may suspend or terminate your access at any time. You may also request account deletion. Data may be removed upon termination. Please export important data before deleting your account.

11. Changes to Terms

We may update these Terms periodically. Major changes will be communicated via email or in the IRIS dashboard.

12. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Disputes will be handled in courts located in England.
